SECURITY INSTRUMENT USED: Both mortgages and deeds of trust are used, although deeds of trust are the instruments of choice. Practically speaking, a mortgage is virtually never used.

RECORDING REQUIREMENTS: All signatures must be notarized; no witnesses are necessary. Each instrument to be recorded needs a blank space of 3&rdquo; x 8&rdquo; at the top of the first page, and below the 3&rdquo; margin a return address. Each instrument must also include the property&rsquo;s legal description, a 1&rdquo; margin on the bottom of each page, and a 1&rdquo; margin on the 2 vertical sides of each page. Filing fees of $10 for the first page and $6 for each page thereafter must be paid at time of recording.

SECURING FUTURE ADVANCES: Mortgages and deeds of trust may contain future advance provisions. Future advances are secured up to the maximum stated in the instrument. However, optional future advances may not attain the same priority as the original lien in certain situations, such as if proper notice limiting the amount of optional future advances is given by the borrower or a junior lienholder. &sect;&nbsp;76-238.01 and &sect;&nbsp;76-1002.

FORECLOSURE

BRIEF DESCRIPTION OF PROCEDURE: A judicial foreclosure action is commenced by filing a complaint in the District Court of the county where the security property is located. Any person or entity that has a subordinate interest in the property must be named in the foreclosure complaint or else the property will end up being sold subject to the subordinate interest. When the complaint is filed, the plaintiff should also file a lis pendens in the real property records of the Register of Deeds in order to cut off the lien rights of any subsequent filer against the property. The defendant has 30 days (60 days if the U.S. is the defendant) after service of the summons to file an appropriate response. The lender typically will be entitled to a decree of foreclosure after either a trial or a summary judgment hearing if the lender can establish the validity of the loan documents, the existence of a default, and compliance with any notice requirements under the terms of the loan documents. Following entry of the decree of foreclosure, the borrower has 20 days to request a stay of sale under &sect;&nbsp;25-1506. The right to a stay is automatic as long as it is timely requested by the borrower and does not require entry of a court order. The length of this stay ranges between 3 and 9 months, depending upon the type of property involved and the length of time remaining for payment of the mortgage indebtedness if the indebtedness had not been accelerated. Following expiration of the stay of sale, or the 20-day waiting period after entry of the decree if no stay is requested, the lender may file with the clerk of the court a request for an order of sale. The clerk will then direct the county sheriff to publish notice of sale and sell the property after publishing notice once a week for 4 consecutive weeks. The sale may be held on any day other than Sunday. After the sale, the lender must file a motion with the court to confirm the sale. At the confirmation hearing, the court must make a finding that the sale as conducted was fair and reasonable and that a resale would not likely produce a greater price than that realized.

BRIEF DESCRIPTION OF PROCEDURE

TYPICAL LENGTH OF PROCEDURE: 5 to 6 months if the case is not contested (or minimally contested) and no stay of sale is requested, but if the case is contested, a stay of sale is requested and the maximum stay applies, 15 to 18 months can be anticipated.

FORECLOSURE BID REQUIREMENTS: There are no specific requirements, but in order to have the sale confirmed by the court, the court must find that the property was sold for fair value under the circumstances and conditions of the sale and that a resale would not produce a greater price. &sect;&nbsp;25-1531.

REDEMPTION PERIOD AND PRICE: The mortgagor may redeem at any time during the pendency of the foreclosure and before the court enters an order confirming the sale by paying the amount of the decree, together with all interest and court costs. However, if the property has been subsequently sold to a party other than a party-plaintiff, the redeeming party will be required to pay 12% interest on the purchase price beginning from the date of the sale and ending on the date of the redemption. &sect;&nbsp;25-1530.

REDEMPTION PERIOD AND PRICE

WAIVER OF REDEMPTION; REDUCTION OF REDEMPTION PERIOD: There is no specified redemption period to be waived. However, the stay of sale discussed above is waived if it is not requested during the 20-day period after the decree is entered.

WAIVER OF REDEMPTION; REDUCTION OF REDEMPTION PERIOD

DEFICIENCIES: A judicial foreclosure proceeding will not result in a deficiency judgment against the borrower. An action at law for a deficiency on the note is allowed after the mortgage foreclosure proceeding is completed. Alternatively, the creditor may proceed at law on the note without having first exhausted its foreclosure remedy, but an action on the note may not be pending at the same time as a mortgage foreclosure action. The time for bringing a deficiency action is simply the statute of limitations on written contracts, 5 years after the cause of action accrues or 6 years if the note is a negotiable instrument.

DEFICIENCIES

EFFECT OF FORECLOSURE UPON LEASES: A lease signed after the mortgage is recorded is junior to the mortgage and will be foreclosed if the lessee is named a defendant in the foreclosure action. Parties not named in the foreclosure action and unsubordinated leases that predate the recording of the mortgage are not affected by the foreclosure action. <ol>

EFFECT OF FORECLOSURE UPON LEASES

BRIEF DESCRIPTION OF PROCEDURE: Nonjudicial foreclosure in Nebraska is commenced by recording a notice of default in each county where the security property or any part is located, and sending within 10 days of recording a copy of that notice of default by certified or registered mail to the borrower and to any parties that have, prior to the recording of the notice of default, filed a document in the real estate records requesting notice. The borrower has 1 month (2 months if the property is not located in any incorporated city or village and is used in farming operations carried on by the borrower) after the recording of the notice of default in which to cure the default. The default may also be cured by any subordinate lienholder. Unlike the judicial foreclosure process, no lis pendens is required to be filed in order to cut off the effect of subsequently filed liens, but the cut off is accomplished by the filing of the notice of default. If the default is not cured within that period, the lender may then direct the trustee named in the deed of trust to commence publication of the sale date. Notice of the sale must be published once per week for 5 consecutive weeks in a newspaper having general circulation in each county in which the property is situated, and the sale must be held at least 10 but not more than 30 days after the date of the last publication. A copy of the notice of trustee&rsquo;s sale must be sent by certified or registered mail to the parties to whom the notice of default was sent. The sale must be held at the time and place as published, between the hours of 9 a.m. and 5 p.m., either at the property or the county courthouse. &sect; 76-1007. On the date and at the time of the sale, the trustee auctions the property through public bidding and issues a deed to the highest bidder. The attorney for the trustee may conduct the sale, and any person, including the beneficiary, may bid. A trustee&rsquo;s sale may be postponed 1 or more times without the need for republication for up to an aggregate period of 45 days after the original scheduled sale date by making an announcement each time at the date, time, and place of sale and each extension. Any extension beyond 45 days requires new publication and scheduling of the sale. &sect; 76-1009. All of the borrower&rsquo;s right, title, and interest is deemed by statute to be terminated as of the moment the highest bid is accepted at the trustee&rsquo;s sale, notwithstanding physical issuance of the trustee&rsquo;s deed after the sale. &sect;&nbsp;76-1010.

TYPICAL LENGTH OF PROCEDURE: 3 to 4 months.

FORECLOSURE BID REQUIREMENTS: The buyer at the sale (if not the lender) must forthwith pay the price bid, although the published Notice of Trustee&rsquo;s Sale may specify terms other than immediate payment in full of the purchase price. The lender may tender credit bids. A bid is treated by statute as an irrevocable offer, and failure to pay the bid price subjects the bidder to resale damages. If this occurs, the trustee may choose to again sell the property at any time to the highest bidder, but notice of the sale must be given again in the same manner as the original notice of the sale was required to be given. The trustee has the right to reject any effort of that bidder to bid again at a resale. &sect; 76-1009.

REDEMPTION PERIOD AND PRICE: None. Once the trustee accepts the high bid and concludes the sale, the borrower has no rights in the property.

WAIVER OF REDEMPTION; REDUCTION OF REDEMPTION PERIOD: N/A.

DEFICIENCIES: The lender may bring an action for a deficiency on a note within 3 months after the date of the deed of trust foreclosure sale. Failure to bring an action at law within that time will waive the right to the deficiency. The lender seeking to obtain a judgment for a deficiency must include an allegation of the fair market value of the property at the time of sale. The amount of the deficiency generally is determined as the difference between the loan balance and the fair market value of the property at the time of the trustee&rsquo;s sale, but in no event shall the judgment, exclusive of interest from the date of sale, exceed the difference between the loan balance and the sale price. For the exact language describing the alternatives for calculating the deficiency amount, see &sect;&nbsp;76-1013.

EFFECT OF FORECLOSURE UPON LEASES: All interests junior in time to the deed of trust will be foreclosed by the trustee&rsquo;s sale, absent an agreement to the contrary (such as a subordination, non-disturbance, and attornment agreement). Notice of the sale is not required unless the holder of the junior leasehold interest filed a request for notice in the real estate records prior to the filing of the notice of default in the real property records.

USURY CEILING: Generally, but with numerous exceptions, any rate of interest that may be agreed upon may be charged on a loan, not exceeding 16% per annum. &sect;&nbsp;45-101.03.

USURY CEILING

USURY EXEMPTIONS: Pursuant to &sect;&nbsp;45-101.04, the foregoing general limitation does not apply to the following, among other exceptions (14 categories specified in the statute): Loans made to any corporation, partnership, limited liability company, or trust; loans made when the principal amount of the borrower&rsquo;s indebtedness to any one financial institution, licensee, or permittee is $25,000 or more; loans insured, guaranteed, sponsored, or participated in, either whole or in part, by any agency, department, or program of the United States or local government; loans made primarily for business or agricultural purposes; or loans secured by real estate when such loans are made by a licensee or permittee operating under a license or permit duly issued by the Department of Banking and Finance, by any bank or savings and loan association chartered by the United States, or by any lender approved by the Federal Housing Administration or Veterans Administration.

USURY EXEMPTIONS

LOCATIONS FOR FILING: Nebraska adopted Revised Article&nbsp;9 effective July&nbsp;1, 2001, together with additional amendments operative July 1, 2013. When the collateral is timber to be cut or is minerals, or if the collateral is goods that are or are about to become fixtures, then filing should be in the office where a mortgage or deed of trust on the real estate would be recorded, which in Nebraska is the County Register of Deeds. In all other cases, the proper place to file is in the office of the Secretary of State (after determination of the appropriate state in which the filing should be made).

SPECIAL PROBLEMS IN ENFORCEMENT OF GUARANTY: To the extent that the sale of the mortgaged property includes the sale of personal property secured under the UCC, notice of sale should also be given to any guarantors. UCC &sect;&nbsp;9-504.

SPECIAL PROBLEMS IN ENFORCEMENT OF GUARANTY

DEFICIENCY JUDGMENTS AGAINST GUARANTOR: The Nebraska Supreme Court has held that the statute of limitations under the Nebraska Trust Deeds Act (&sect;&nbsp;76-1013) does not apply to a guaranty, as a guaranty is deemed a separate and distinct instrument and is therefore subject to the 5-year statute of limitations under &sect;&nbsp;25-205. Subsequently, the Nebraska Supreme Court also held that the deficiency formula set forth in &sect;&nbsp;76-1013 does not apply to a guarantor, so long as the guaranty is not secured by the deed of trust being foreclosed. The Nebraska Supreme Court held that &sect; 76-1013 only applies to an obligation for which the deed of trust was given as security. The Nebraska Supreme Court further held that the guarantor is liable for the entire amount of the underlying debt less the amount received from the trustee&rsquo;s sale.

DEFICIENCY JUDGMENTS AGAINST GUARANTOR

STATUTE OF LIMITATION PERIOD: Actions for foreclosure of mortgages, including a deed of trust being foreclosed as a mortgage, can be brought only within 10 years after the cause of action accrues. A trustee&rsquo;s sale pursuant to the power of sale in a deed of trust must be completed within 5 years after the cause of action accrues. Therefore, a deed of trust can be foreclosed judicially in the same manner as a mortgage if the limitations period for non-judicial power of sale has run. Action on written contracts, including notes, must be brought within 5 years after accrual, although the UCC provides a 6-year statute for negotiable instruments. &sect;&sect;&nbsp;25-202, 25-205, 76-1015, and UCC 3-118.

STATUTE OF LIMITATION PERIOD

REQUIREMENTS FOR RELEASE OF LIEN: Any lender who fails to deliver a recordable release of mortgage or reconveyance of deed of trust within 60 days after satisfaction and request shall be liable to the borrower for damages equal to the greater of $5,000 or actual damages, plus reasonable attorneys&rsquo; fees and costs. &sect;&nbsp;76-1014.01. The statute is absolute in its language, and lenders have been sued for missing the 60-day deadline.

REQUIREMENTS FOR RELEASE OF LIEN

HOMESTEAD ISSUES: Pursuant to &sect;&nbsp;40-101, a homestead not exceeding $60,000 of value is exempt from judicial liens and from execution or forced sale, except as waived. However, the homestead is subject to execution or forced sale where the mortgage or deed of trust is executed by the single borrower, or if married, by both husband and wife. &sect;&nbsp;40-103.

DOCUMENTARY STAMP TAX: $2.25 per $1,000 of consideration (or part thereof) upon recording a deed. &sect;&nbsp;76-901. On Note: None. On Foreclosure Sale or Deed in Lieu of Foreclosure: The Documentary Stamp Tax is applicable to a trustee deed issued after a nonjudicial foreclosure to a third-party purchaser at the sale, but if the lender is the purchaser, then that conveyance is exempt from the Tax. Other exemptions from the Documentary Stamp Tax include a deed issued pursuant to a court decree (mortgage foreclosure) and a deed that secures or releases a debt or other obligation (deed-in-lieu). Refer to &sect;&nbsp;76-902 for a list of all 25 exemptions.

ENFORCEABILITY OF AGREEMENT OF BORROWER AND LENDER AS TO CHOICE OF LAW PROVISIONS: Nebraska law will apply to the perfection and enforcement of security instruments. Nebraska courts generally will enforce choice of law provisions if the choice is reasonable and the law to be applied is not against public policy in Nebraska.

ENFORCEABILITY OF AGREEMENT OF BORROWER AND LENDER AS TO CHOICE OF LAW PROVISIONS

RECEIVER AVAILABLE: The appointment of a receiver is ancillary to the pending proceeding and no receiver shall be appointed except in a suit actually commenced and pending. &sect;&nbsp;25-1082. In a judicial foreclosure action, a receiver will be appointed only when a mortgaged property is in danger of being lost, removed, or materially injured, or probably is insufficient to discharge the mortgage debt. &sect;&nbsp;21-1081. Under the same statute and standard, a receiver can be appointed during the pendency of a nonjudicial foreclosure after the notice of default has been filed. Further, some lenders have had success in filing for a receiver under an application within a declaratory judgment action for enforcement of an assignment of rents and leases. Nebraska does have a statute for enforcement of a rent assignment. It essentially provides that a lender may enforce an assignment of rents and leases by bringing an action on the assignment instrument, by having a receiver appointed under applicable law, or by sending written notice directly to the tenants directing the tenants to commence paying rent to the assignee. &sect;&nbsp;52-1701 et seq.

RECEIVER AVAILABLE

ANY PROHIBITION OR SPECIAL RULES REGARDING LOAN APPLICATION, LOAN FEES OR COMMITMENT FEES: Not for business or commercial lending and most residential mortgage lending. However, there are restrictions for certain categories of consumer lending, which need to be addressed on a case-by-case basis.

ANY PROHIBITION OR SPECIAL RULES REGARDING LOAN APPLICATION, LOAN FEES OR COMMITMENT FEES

LENDER QUALIFICATION AND/OR LICENSURE: Nebraska participates in the Nationwide Mortgage Licensing System (NMLS). The Nebraska Department of Banking and Finance uses the NMLS and all mortgage lending license applications must be submitted through the NMLS. Under the Nebraska Residential Mortgage Licensing Act, any person or business that, for compensation or gain or in the expectation of compensation or gain, directly or indirectly makes, originates, services, negotiates, acquires, sells, arranges for, or offers to make, originate, service, negotiate, acquire, sell, or arrange residential a mortgage loan must be licensed or registered with the Nebraska Department of Banking &amp; Finance. This includes mortgage bankers and brokers. However, there are several exemptions under the Act for certain individuals and entities, including any depository institution or wholly owned subsidiary thereof and any registered bank holding company.

LENDER QUALIFICATION AND/OR LICENSURE

MODIFICATION: There are no specific provisions or requirements for modification of existing loans, except that if a modification agreement is to be recorded, it must comply with the recording requirements and the recording fees must be paid.

MODIFICATION

ENVIRONMENTAL LIEN LAW ISSUES: Any fine or penalty assessed by the State or costs incurred for clean-up or remediation under the Nebraska Environmental Hazard Act (&sect;&nbsp;71-6301 et&nbsp;seq.), Nebraska Integrated Solid Waste Management Act (&sect;&nbsp;71-6301 et seq.), and Nebraska Environmental Protections Act (&sect;&nbsp;81-1501 et seq.) constitutes a debt to the State and shall be a lien on the real estate, which lien has priority over all other liens and encumbrances and may be foreclosed against the record owner of the real estate and all interested parties in the manner of a tax foreclosure by the State; or suit may be brought by the State against the record owner of the real estate in the District Court of the county in which the real estate is located.

ENVIRONMENTAL LIEN LAW ISSUES

LEGAL OPINIONS: Nebraska does not have a local bar opinion report that articulates standard accepted opinion practices in this State. LABOR AND MATERIAL LIEN CLAIMS (&ldquo;L&amp;M LIEN&rdquo;)&mdash;PRIORITY ISSUES:

LEGAL OPINIONS

INCEPTION OF L&amp;M LIEN (Priority of Lien of Deed of Trust or Mortgage): An L&amp;M Lien will not attach and may not be enforced unless the lien is recorded within 120 days after the claimant&rsquo;s final furnishing of services or materials. If a Notice of Commencement has been recorded and is effective as of the time the L&amp;M Lien is filed, the lien attaches as of the time the Notice of Commencement is recorded. If the L&amp;M Lien is recorded while there is no recorded Notice of Commencement, the lien attaches as the earlier of visible commencement of the improvement or the recording of the lien, subject to certain exceptions. As a general matter, an L&amp;M Lien has priority over adverse claims against the real estate as if the L&amp;M Lien claimant were a purchaser for value without knowledge who had recorded at the time his or her lien attached. An L&amp;M Lien also has priority over subsequent advances made under a prior recorded security interest if the subsequent advances are made with knowledge that the lien has attached, unless the prior recorded security interest is a &ldquo;construction security interest.&rdquo; Under the Nebraska Construction Lien Act, a &ldquo;construction security interest&rdquo; is defined as &ldquo;a security interest created by a Security Agreement that contains a legend on the first page clearly stating that it is a Construction Security Agreement and that it secures an obligation which the debtor incurred for the purpose of making an improvement of the real estate in which the security interest is given.&rdquo; Of course, the Nebraska Construction Lien Act has numerous exceptions and conditions that cannot be adequately summarized for purposes of this publication. At a minimum, a lender making construction loans in Nebraska should be sure to include a legend on the first page clearly stating that the instrument is a Construction Security Agreement and that it secures an obligation that the debtor has incurred for purposes of making improvements to the described real estate. The lender should further require the recording of a Notice of Commencement immediately after the recording of the lender&rsquo;s security interest.

INCEPTION OF L&amp;M LIEN (Priority of Lien of Deed of Trust or Mortgage)

PRIORITY AS TO REMOVABLE FIXTURES (Priority of Lien of Deed of Trust or Mortgage): &sect;&nbsp;9-313 of the Nebraska UCC generally defines fixtures and governs priorities between security interests in fixtures and conflicting interests of an owner or encumbrancer of real estate. In order to perfect the security interest in fixtures, a financing statement must be filed in the office where a mortgage or deed of trust on the real estate would be filed or recorded. The general rule is a fixture filing should be treated as any other real estate transaction. Namely, the priority is based upon the order of recording. There is an exception for purchase money security interests in goods that become fixtures after the purchase and where the fixture filing is made within 10 days after the goods are attached to the real estate. However, even a purchase-money security interest in fixtures is subordinate to the lien of a construction mortgage recorded before the goods become fixtures.

PRIORITY AS TO REMOVABLE FIXTURES (Priority of Lien of Deed of Trust or Mortgage)

MOBILE HOMES: Mobile homes generally are treated as personal property, are titled like a motor vehicle, and a secured creditor has its lien noted on the title. However, in some instances a mobile home can become realty if the procedures of statute &sect;&nbsp;60-169 are followed. Essentially, under that statute, if a mobile home becomes affixed to real estate (i.e. the wheels, towing hitch, and running gear are removed and it is permanently attached to a foundation or other support system), the certificate of title can be surrendered and cancelled, provided that an &ldquo;affidavit of affixture&rdquo; on the prescribed form is filed with the county clerk and a duplicate original gets filed in the real estate records of the county in which the former mobile home has become affixed. If this affixture procedure has been followed, then a title search of the underlying real estate will show the filing of the Affidavit of Affixture, which then means the mobile home is now legally treated as part of the realty and no longer as separate personal property. A lender then perfects its lien by filing a mortgage or deed of trust against the real estate. Even if a mobile home loses its character as personal property and becomes part of the real estate, it can again be severed, have a title issued, and reinstate its character as personal property. Before that happens, however, an affidavit of detachment is filed in the real property records to this effect. In all instances, the required affidavits have to include the written consents of existing lienholders, so an affixture or a severance and retitling cannot occur without an existing secured lender&rsquo;s knowledge or ability to protect its secured interest.
